This Agreement (“Agreement”) is entered into on the date of signing by and between Dr. Jo Abbott, Developer of Back Pain Systems™ App (“Developer”) and (“Founding Member”).
1. Purpose of Agreement
As a Founding Member, you are granted lifetime access to the Back Pain Systems™ App for personal use. Your participation in the 6-week challenge does not limit your continued personal use of the app beyond this period.
2. Grant of Access
The Developer grants the Founding Member non-transferable, lifetime access to the Back Pain Systems™ App for personal use only. This access includes all content, updates, and resources available within the app.
3. Personal Use and Clinical Trial Terms
The Founding Member agrees to use the Back Pain Systems™ App strictly for personal, non-commercial purposes. However, if the Founding Member is a clinician, they may work with one individual patient for demonstration and trial purposes during any pre-launch trial period. This is intended to provide feedback and insight into app use with patients under trial conditions only.
4. Post-Launch Use for Clinicians
Upon the app’s official launch, the Founding Member, if a clinician, may no longer use the app to work directly with patients. Instead, they must encourage any patients to download the app for their own use and continue working with the clinician directly through the patient’s app account. Clinicians will not share or use app content with patients directly from their own accounts post-launch.
5. Demonstration for App Promotion
The Founding Member is permitted to demonstrate their personal version of the Back Pain Systems™ App to friends, family, and other interested individuals solely for the purpose of showcasing the app’s functionality and content to encourage them to download it for their own use. This demonstration should be limited to brief overviews, without sharing extended access or any app content in a distributable form.
6. Discount Requests for Friends and Family
The Founding Member may apply to the Developer for special discounts on the app for friends, family, and patients once the app has officially launched. Approval and terms of any discounts are at the Developer’s discretion.
7. Restrictions on Content Sharing and Copying
The Founding Member agrees not to copy, distribute, share, or otherwise make available any part of the app’s content to any third party outside of permitted demonstration purposes. This restriction includes, but is not limited to, sharing any written, video, audio, or visual content from the app with others, whether in person or electronically.
8. Intellectual Property Rights
The content within the Back Pain Systems™ App, including all exercises, coaching material, videos, graphics, and any other resources, is the exclusive property of the Developer. Unauthorized copying, sharing, or reproduction of any content violates the Developer’s intellectual property rights.
9. Consequences of Breach
If the Founding Member is found to have shared, copied, or distributed any content from the app in violation of this Agreement, the Developer reserves the right to take legal action, including but not limited to financial penalties and legal fees, to the fullest extent permitted by law.
10. Termination of Access
In the event of a breach of this Agreement, the Developer may revoke the Founding Member’s access to the Back Pain Systems™ App immediately, without notice or refund.
11. Liability Waiver
The Founding Member agrees to indemnify and hold harmless the Developer against any claims, damages, liabilities, or expenses (including legal fees) arising from any unauthorized use or distribution of the app’s content.
12. Acknowledgment
By signing this Agreement, the Founding Member acknowledges and agrees to abide by all terms and conditions stated herein and recognizes that failure to do so may result in legal action.
